Oracle subsequently priced approximately 86.2 million new shares at $116 each, alongside $10 billion in bonds maturing between 2029 and 2046. The share offering was priced roughly 11% below Friday's closing price, while the new bonds carry annual interest rates ranging from 7% to 8.65%.
Why Strong AI Demand Is Not Enough
Oracle's cloud infrastructure revenue increased 121% year over year to $7.4 billion in its latest reported quarter. Its remaining performance obligations, representing contracted future revenue, reached $664 billion, highlighting substantial demand for computing capacity.
However, fulfilling those contracts requires extensive investment before the associated revenue is fully realized. During the quarter, capital expenditures reached $28.5 billion, exceeding operating cash flow of $23.1 billion and producing negative free cash flow of approximately $5.4 billion.
This exposes an important distinction between contracted demand and available liquidity. A growing backlog can support future revenue expectations without immediately providing the cash required to construct and operate additional data centers.
Financing Growth Comes at a Cost
Oracle reported approximately $125.3 billion in outstanding borrowings at the end of August. The new bond issuance adds financing obligations, while the equity offering increases the number of outstanding shares, potentially diluting existing shareholders.
The combination creates pressure from two directions. Higher borrowing costs require additional future cash generation, while issuing more shares spreads future earnings across a larger shareholder base.
Consequently, even substantial revenue growth may not translate into comparable returns for existing shareholders if capital requirements remain elevated. The market's reaction suggests investors are placing greater emphasis on financing efficiency rather than projected AI demand alone.
What Could Restore Investor Confidence?
Oracle expects capital expenditures to peak during fiscal 2027 and 2028, with free cash flow turning positive in the second half of fiscal 2028. The company targets more than $30 billion in annual free cash flow for fiscal 2029.
Its longer-term outlook calls for revenue exceeding $225 billion by fiscal 2030, more than triple the fiscal 2026 level. Achieving these targets will depend on converting contracted demand into recognized revenue while controlling infrastructure costs and financing requirements.
For investors, the decisive indicator may therefore be the relationship between capital spending and operating cash generation. If free cash flow improves as projected, the current financing could support substantial future expansion. If investment requirements remain higher for longer, additional financial pressure could continue weighing on Oracle's valuation.
