The package combines priced offerings with a proposed future share-sale programme. For investors, the scale highlights both Meta’s commitment to AI and the financing demands created by its expansion.
How the Financing Package Adds Up
The common stock offering was priced at $625 per share. A separate offering of 250 million depositary shares, representing mandatory convertible preferred stock, was priced at $50 each, bringing the two base offerings to $37.5 billion.
The common stock sale uses forward agreements. Meta expects no initial proceeds from that portion, with settlement anticipated on or before November 19, 2027. The announced amount therefore differs from cash immediately available to spend.
A further $60 billion could come through sales at prevailing market prices after non-voting Class C shares begin trading, expected in early 2027. The program’s final timing and terms remain undetermined.
Spending Outpaces Quarterly Cash Generation
Meta expects 2026 capital expenditure of $135 billion to $145 billion, including principal payments on finance leases. In the third quarter, that spending reached $34.91 billion, exceeding $32.79 billion generated from operations.
Free cash flow was consequently negative $2.12 billion. Meta still held $82.45 billion in cash, cash equivalents, and marketable securities as of September 30, providing a substantial financial buffer.
Equity financing can expand that flexibility, but issuing additional shares reduces existing investors’ proportional ownership. The relevant test is whether earnings generated by new investment eventually compensate for that dilution.
What Could Shift Investor Confidence?
Nvidia, AMD, and Broadcom have indicated non-binding interest in buying up to $5 billion of Class A shares collectively, within the common stock offering.
Supplier investment could help finance chip purchases, leaving investors to examine the relationship between funding and underlying demand. Participation in a share sale alone does not demonstrate how profitable those purchases will be.
Stronger advertising performance, paid AI adoption, and improving cash conversion could strengthen the case for the buildout. Conversely, spending that continues to outpace operating cash generation could raise expectations of further fundraising.
Ultimately, investors will assess what Meta earns on the capital it deploys. Completing a larger financing plan would address funding needs; sustained confidence will depend on the returns that follow.
